Inscendo IQ Expert Services Agreement

Effective Date: Version 1.5 takes effect on the date it is posted at /legal/expert-services, and governs every consultation requested, every Quote or Change Quote accepted, every card authorization given, and every Onboarding Package requested, bought, accepted, or granted after that date (§ 11). It imposes nothing on work already agreed: an engagement authorized under an earlier version, and every hour worked under it, stays governed by that version, and a package bought under an earlier version keeps the price, hours, and terms it was bought with (§ 11.1, Schedule A.1). Version 1.4 was effective October 2, 2026; Version 1.3 was effective September 28, 2026; Version 1.2 was effective September 17, 2026; Version 1.1 was effective August 4, 2026. Version: 1.5 (November 1, 2026 — Schedule A.7(a) amended and new A.4(e). A package chosen at sign-up, or asked for through Inscendo IQ, is now a request with a preferred start date, not a purchase: nothing is charged for it at sign-up, and it is bought only if an owner or account administrator later accepts our offer for it in the Wallet under A.7(b). New A.4(e) states how the kickoff date is set when an offer is accepted, and that a meeting your team does not attend never starts the Access Window. Nothing else changes; a package bought under an earlier version keeps the terms it was bought with. Version 1.4 (October 2, 2026) amended Schedule A.1 and A.4(d) amended and new A.2(f). The Onboarding Package prices and Build Hours change to Launch US $500 with 2 Build Hours, Growth US $1,500 with 6, and Command US $2,500 with 10; Live Trainings and Access Windows are unchanged. New A.2(f) adds, for Growth and Command, a commitment to keep working on connecting your CRM and phone system, at no extra charge, past the package's Build Hours until they are connected, and states what that commitment covers and when it ends. Nothing else changes. Version 1.3 (September 26, 2026) added § 1.4, § 3A, § 3B, and Schedule A, and amended § 1.1, § 3.2 through § 3.6, § 3.8, § 9.2, § 11.1, and § 11.2: Quoted Work with a ceiling, fifteen-minute increments, statements charged no sooner than two business days after they are sent, the saved-card authorization, and the three Onboarding Packages.) Provider: Inscendo Automation Inc.

This Inscendo IQ Expert Services Agreement ("Expert Agreement") governs consultations, training, remediation, and build-out work performed by Inscendo personnel ("Inscendo IQ Experts") for a Subscriber ("you"), including work delivered under an Onboarding Package (Schedule A). It supplements and is incorporated into the Inscendo Master Subscription Agreement ("MSA"). In the event of conflict between this Expert Agreement and the MSA, this Expert Agreement controls with respect to Expert Services.

By requesting a consultation through the Support page — where you are shown this Expert Agreement, and must tick the box that accepts it together with the Mutual NDA before the request is sent — you accept this Expert Agreement; that acceptance is recorded with the version, effective date, and text fingerprint of this document as served to you. Accepting a Quote or Change Quote (§ 3A.2), giving a card authorization (§ 3B), and buying or accepting an Onboarding Package (Schedule A) are each a further acceptance of the version then in force, recorded the same way together with the exact words you were shown. Capitalized terms not defined here have the meanings given in the MSA, the Acceptable Use Policy ("AUP"), and the AI Code of Conduct.

1. What Expert Services Are

1.1 Expert Services means human consultation, training, architectural review, remediation, data migration, and build-out work performed by an Inscendo IQ Expert on or in connection with your tenant, its capsules, automations, widgets, and related configuration, whether engaged as Quoted Work (§ 3A) or delivered under an Onboarding Package (Schedule A).

1.2 Expert Services are optional and supplemental. Nothing in the Service requires you to purchase them, and your subscription, allowances, and platform features are unaffected by whether you do.

1.3 Expert Services are delivered remotely by virtual meeting, and by work performed in your tenant between meetings where you have engaged us to do so.

1.4 Business Accounts only. Paid Expert Services and Onboarding Packages are sold only to Business Accounts, for business purposes (Consumer Account Addendum § 1.1). We do not quote, take a card authorization from, or sell a package to a Personal Account. The person who accepts a Quote, gives a card authorization, or buys or accepts a package represents that the account is a Business Account used for business purposes, and that they are authorized to bind the business that holds it. A Personal Account may still request the free consultation in § 2.

2. The Free Consultation

2.1 Your first meeting is a free consultation of thirty (30) minutes, offered so we can attempt to quickly resolve your issue or educate you on the platform.

2.2 The free consultation is hard-limited to thirty (30) minutes. We may end the meeting at that limit.

2.3 The free consultation is intended for small, discrete issues. It is not a substitute for ongoing engineering, project work, or recurring advisory support.

2.4 Sole discretion. Whether a request is a larger request, or constitutes abuse of the free consultation, is determined by Inscendo in its sole discretion. Seeking ongoing direction on the same or related issues across multiple free consultations is an example of abuse. Where we make that determination, further work proceeds only as paid Expert Services under § 3, and we may decline to schedule additional free consultations.

2.5 We may decline, reschedule, or end any consultation, and we may limit the number of free consultations available to a tenant or to a group of affiliated tenants.

3. Paid Expert Services

3.1 Rate. Paid Expert Services are billed at two hundred fifty U.S. dollars (US $250.00) per hour. The rate that applies to a Quote is the rate stated in that Quote.

3.2 Increments. Time on Quoted Work (§ 3A) and on an Onboarding Package's Build Hours (Schedule A) is recorded in fifteen (15) minute increments on the total for the engagement or package: individual time entries are added together first, and only the total is rounded up to the next fifteen minutes, so no single entry is rounded up on its own. A live meeting held as paid Expert Services under a Quote is recorded at no less than one (1) hour, even if it ends sooner; an Onboarding Package's Live Training is governed by Schedule A.2 instead.

3.3 How paid work starts. Where a request exceeds the scope of the free consultation, it continues as paid Expert Services as our availability permits, and only as Quoted Work under an accepted Quote (§ 3A) or against the Build Hours of an Onboarding Package you hold (Schedule A). We do not guarantee availability, a start date, or a completion date.

3.4 Estimates and Quotes are different things. During a consultation we may estimate the number of hours we expect a piece of work to require. An estimate is only an estimate: it binds neither party, and nothing is charged against it. A Quote (§ 3A.1) is different: it is a written offer whose hours are a ceiling. Once you accept a Quote you are charged for the hours actually worked, at the Quote's rate, and never for more hours than the Quote states unless you also accept a Change Quote (§ 3A.4). A Quote is a ceiling on what you pay, not a promise that the work will be finished within it (§ 8.2).

3.5 Authorization. We will not begin paid Expert Services until an owner or account administrator of your account has (a) accepted a Quote in the product (§ 3A.2) and (b) given, or already has in place, a card authorization under § 3B. We may ask for the card authorization at any time, including before any Quote is sent; it then applies to each Quote your account later accepts. Work against an Onboarding Package's Build Hours needs neither, because the package is already paid for.

3.6 Payment. Quoted Work is charged to the card authorized under § 3B, statement by statement, under § 3A.5. An Onboarding Package is charged once, when it is bought (Schedule A.7). Expert Services are never drawn from your Wallet balance, your monthly usage allowance, or any platform credit, no platform allowance offsets them, and Wallet Funds cannot be used to pay for them. Where an amount cannot be charged to the authorized card — because the authorization was revoked, the card expired or was removed, or the charge failed — we invoice it, and the invoice is due within fifteen (15) days after we send it (§ 3B.6).

3.7 Taxes. Amounts are exclusive of taxes, which are your responsibility except for taxes on our net income.

3.8 No refunds for time performed. Hours actually worked are payable. Cancelling Quoted Work before any work begins incurs no charge (§ 3A.6). Refunds for Onboarding Packages are governed by Schedule A.6.

3.9 Discretionary waiver. We may waive, reduce, or credit Expert Services fees, in whole or in part, at any time and in our sole discretion, including after the work has been performed or invoiced. Any such waiver is a one-time accommodation limited to the fees we identify when we give it. It is not a price change, does not entitle you or any other Subscriber to the same treatment on any other occasion, does not establish a precedent or course of dealing, and does not affect our right to bill in full for any other Expert Services, whether performed before or after.

3A. Quoted Work

3A.1 What a Quote contains. A Quote is sent to your account in the product and by email to your account administrators. It states: (a) the work it covers, in plain terms; (b) the number of hours, which is the ceiling; (c) the hourly rate; (d) the maximum amount before tax, which is the hours multiplied by the rate; and (e) the date it expires. A Quote expires fourteen (14) days after we send it unless it is accepted before then. We may withdraw a Quote at any time before it is accepted.

3A.2 Acceptance is in the product, by an owner or administrator. A Quote or Change Quote is accepted only by an owner or account administrator of your account, in the product, by ticking the acceptance box that shows the Quote's hours, rate, maximum amount, and the card it will be charged to, and confirming. A reply to an email, a message in chat, or anything said on a call is not acceptance. We record who accepted, when, and the exact words shown. An acceptance binds the business that holds the account.

3A.3 You pay for actual hours, never more than the Quote. Under an accepted Quote you are charged only for hours actually worked, at the Quote's rate, recorded under § 3.2. The hours charged on an engagement never exceed the total hours of the Quotes and Change Quotes your account has accepted for it. Quoted hours that are not worked are not charged.

3A.4 Change Quotes. If we find the work needs more hours than your accepted Quotes allow, we stop at or before the ceiling and send a Change Quote, stating the additional hours and why they are needed. It is accepted, and expires, exactly as a Quote does. We do not work, and you are not charged for, a single hour beyond the ceiling unless your account accepts the Change Quote. If you decline it or let it expire, we stop; you are charged only for the hours already worked within the ceiling; and we hand the work over in its current state — it is already in your tenant — with a written summary of what was done and what remains.

3A.5 Time records, statements, and charges. (a) We keep time records for every engagement, showing the date, the Expert, the activity, and the time spent. (b) We email your account administrators a statement of the hours worked, with those time records and the amount due. We send a statement at least when the work is complete or cancelled, and we may send statements periodically while longer work is in progress. (c) Each statement is charged to the card authorized under § 3B no sooner than two (2) business days after we send it. A business day, in this Expert Agreement, is Monday through Friday. (d) If you dispute a statement, or any line of it, before it is charged — in the product, or by replying to the statement email or writing to support@inscendoiq.com — we hold the charge while we review it. We then either correct or void the statement, in which case a corrected statement is sent and again waits two business days before it is charged, or we explain why it stands, after which it may be charged. (e) A dispute raised after a charge is governed by § 3B.7.

3A.6 Cancellation. You may cancel an engagement, or any accepted Quote, at any time, in the product or by writing to support@inscendoiq.com. We stop work promptly once we receive it, and you pay only for hours already worked, which we bill on a final statement under § 3A.5. If we have not started work within thirty (30) days after your account accepts a Quote, we will tell you when we expect to start, and you may cancel that Quote without any charge at all, including for time we spent preparing. We may end an engagement at any time by written notice; you then pay only for hours already worked.

3B. Saved-Card Authorization

3B.1 What you authorize. An owner or account administrator may authorize Inscendo, in the product, to save a card — one already on file, or a new one entered for the purpose — and to charge it without asking again for Expert Services on Quotes and Change Quotes your account accepts: the amount of each statement under § 3A.5, plus applicable tax. The authorization is given once and applies to every Quote your account accepts while it remains in place, whether it was given before any Quote was sent or when a Quote was accepted.

3B.2 Scope — what it does not cover. Every charge made under the authorization is bounded by the accepted Quotes it relates to (§ 3A.3); the authorization itself sets no amount and permits no charge beyond them. It covers Expert Services statements and nothing else. It does not authorize any subscription charge (MSA § 6.9), any Wallet purchase or automatic top-up (MSA § 6.8), any Marketplace Capsule charge, or any Onboarding Package, each of which is authorized separately. Equally, an automatic top-up or subscription authorization does not permit any Expert Services charge. Saving a card for Expert Services does not make it the card your Wallet uses.

3B.3 Duration and revocation. The authorization continues until it is revoked. You may revoke it at any time from the Expert Services section of the Support page, or by writing to support@inscendoiq.com; revocation takes effect for every charge not yet made as soon as we process it, and no later than one (1) business day after we receive a written request. Removing the card from your account also ends it. We may end it at any time. Revoking it does not cancel an engagement or excuse hours already worked: those remain payable, and we will invoice them or ask for a new authorization (§ 3.6). Every receipt for a charge made under the authorization repeats how to end it.

3B.4 Confirmation and receipts. When the authorization is given we email your account administrators a written confirmation — promptly, and in any event within two (2) business days — stating the card (brand and last four digits), what the authorization covers, and how to revoke it. For each charge we then email an itemized receipt on the terms MSA § 6.10 states for Inscendo's charges, naming the statement it pays. Each such receipt is a receipt under MSA § 6.10 for the purposes of MSA § 6.5.

3B.5 Changes need a new acceptance. We will not change what an existing authorization covers, or charge under it at a rate other than the one stated in the Quote your account accepted, without a new acceptance in the product. A new rate applies only to Quotes accepted after it is stated in them.

3B.6 Failed charges. If a charge is declined or fails, we may retry it, we will tell your account administrators, and we may pause work on the engagement until it is paid. If it remains unpaid we invoice it under § 3.6.

3B.7 Disputes. Before a charge, dispute the statement under § 3A.5(d). After a charge, MSA § 6.5 applies: tell us in writing within thirty (30) days after we send the receipt. Nothing in this § 3B limits any right you have under applicable law or under the rules of your card issuer; we ask that you contact us first, because a statement dispute is usually resolved faster than a chargeback.

4. Scheduling, Rescheduling, and No-Shows

4.1 Meetings are scheduled through the Support page. We will send you a confirmation, one or more reminders before the meeting, and the meeting invitation shortly before the scheduled start time.

4.2 If you do not attend within ten (10) minutes of the scheduled start, we may treat the meeting as a no-show and release the time. A no-show consumes your free consultation.

4.3 Either party may reschedule with reasonable notice.

5. Communications Consent

5.1 Support email. By requesting a consultation you consent to receive email from us relating to your request, your scheduled meetings, and the support matter you raised. This is transactional communication necessary to deliver the service you requested.

5.2 Calls and text messages (express written consent). Where you separately and affirmatively check the corresponding box in the request form, you provide express written consent for Inscendo Automation Inc. and its agents to contact you at the telephone number you provide by automated telephone dialing system, prerecorded or artificial voice message, and SMS or MMS text message, for purposes relating to scheduling, delivering, and following up on Expert Services and platform support.

(a) This consent is not a condition of purchase of any goods or services, and is not required to receive Expert Services. You may request a consultation, attend meetings, and purchase paid Expert Services without giving it.

(b) Message and data rates may apply. Message frequency varies.

(c) You may revoke this consent at any time by replying STOP to any text message, by telling us during a call, or by emailing support@inscendoiq.com. Reply HELP to any text message for assistance. Revocation takes effect promptly and does not affect the lawfulness of communications sent before revocation.

(d) We record the date and time of your consent, the telephone number given, and the exact version of the consent language displayed to you at the moment you consented.

5.3 Marketing (optional). Marketing communications are optional, are requested by a separate checkbox, and are never bundled with § 5.1 or § 5.2. Declining marketing has no effect on Expert Services. You may withdraw marketing consent at any time using the unsubscribe link in any marketing message or by emailing support@inscendoiq.com.

5.4 No pre-checked boxes. No consent under this § 5 is obtained by a pre-checked box, by silence, or by bundling with any other agreement.

6. Information You Provide

6.1 The request form asks you to describe the issue you are having, what you are trying to build, what you are blocked on, or what you need help with. You provide this so we can investigate in advance and be prepared for the meeting.

6.2 Do not include payment card numbers, government identification numbers, protected health information, or credentials in the request form. Use the in-product credential facilities for secrets.

6.3 Information you provide is handled under the Privacy Policy and, where applicable, the Data Processing Addendum.

6.4 Confidentiality. Everything you tell us in connection with Expert Services, including what you describe on a call, on a screen share, or in the request form, is covered by the Mutual Confidentiality and Non-Disclosure Agreement posted at https://inscendoiq.com/legal/mutual-nda ("NDA"), which is incorporated into this Expert Agreement. The NDA is mutual, takes effect without signature when you request a consultation, and applies to discussions that happen before you become a Subscriber. It states both what we protect and what confidentiality does not restrict, including that we serve other customers in the same industries and continue to develop our own products independently. A countersigned copy is available on request at support@inscendoiq.com.

7. Access to Your Tenant

7.1 Expert Services may require an Expert to access your tenant. Such access is performed under your existing MSA and DPA and is limited to what is reasonably necessary to perform the work you authorized.

7.2 You remain responsible for your data, your backups, and for reviewing changes made to your tenant. Where an Expert creates or changes configuration, capsules, widgets, automations, skills, or code in your tenant at your direction, the result is yours to operate: it runs as you, on your authority, and under your own licences, registrations, and authority to conduct your business, exactly as MSA § 4.10 states for every artifact in your tenant. That an Inscendo IQ Expert wrote it does not make Inscendo its vendor, its operator, the issuer of anything it produces, or a party to any transaction, filing, form, or document you produce with it. § 10 states the licence and the allocation of responsibility in full.

8. No Professional Advice; No Guarantee of Outcome

8.1 Expert Services are technical services relating to the Service. They are not legal, tax, accounting, medical, or other regulated professional advice.

8.2 We do not warrant that Expert Services will resolve any particular issue, achieve any particular result, reduce any particular volume of errors, or bring any workload within any particular platform capability. Estimates, opinions, and recommendations are provided without warranty.

8.3 EXPERT SERVICES, AND EVERYTHING AN EXPERT BUILDS OR CHANGES IN YOUR TENANT, ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSCENDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND LAWFULNESS OF OPERATION FOR YOUR PURPOSE, WITH RESPECT TO EXPERT SERVICES AND TO WHAT THEY PRODUCE.

8.4 Not a licensed vendor of any form or standard. Inscendo is not a member of, licensee of, or vendor authorized by any industry standards body, forms publisher, trade association, or licensing organization (MSA § 2.4, § 3.3(g)). An Expert who, at your direction, builds something that generates, fills, issues, files, or reproduces a licensed form, format, specification, or standard does so as your contractor working under your licence, and Inscendo does not determine whether such a licence is required or confirm that you hold one. You represent that you hold, and will maintain, every licence, membership, registration, and authorization that operating what the Expert builds requires (MSA § 4.2A(e)).

9. Limitation of Liability

9.1 The limitations and exclusions of liability in the MSA apply to Expert Services.

9.2 Without limiting the MSA, Inscendo's aggregate liability arising out of or relating to Expert Services will not exceed the amounts actually paid by you for the Expert Services giving rise to the claim in the three (3) months preceding the event or, where the claim arises from an Onboarding Package, the price actually paid for that package, whichever is greater.

9.3 Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to Expert Services.

10. Intellectual Property

10.1 Configuration, capsules, widgets, automations, skills, and code that an Expert creates or changes in your tenant during Expert Services are Platform Code created in your tenant and Customer Configurations under MSA § 4.1, on the same terms as anything Inscendo IQ builds for you: Inscendo holds title to them as Platform Code (MSA § 4.2) and licenses them to you on the perpetual, ownership-equivalent terms of MSA § 4.2A — to use, run, modify, export, and commercialize, on or off the Service, surviving termination — AS-IS (MSA § 4.2A(a)) and conveying no third-party or industry licence (MSA § 4.2A(e)). Where Inscendo later publishes what it built for you as an Inscendo-Published Capsule (MSA § 4A.7), this § 10 continues to govern as between you and Inscendo.

10.2 Inscendo retains all rights in the Service, in its methods, know-how, tooling, and templates, and in any general skills, techniques, and improvements derived from performing Expert Services. Nothing here transfers ownership of the Service or of anything used to deliver it.

10.3 The rights retained in § 10.2 do not grant Inscendo any license to your Confidential Information embedded in what an Expert builds for you. Your rate tables, formulas, thresholds, client and vendor lists, credentials, and business data remain yours and remain protected by the NDA, and Inscendo will not reuse, publish, or distribute those elements outside your tenant.

10.4 You operate what an Expert builds; Inscendo is not its vendor. Everything in MSA § 4.10 applies to what an Expert builds or changes in your tenant, and you agree to it expressly here because Inscendo personnel, rather than Inscendo IQ alone, did the work. In particular: (a) you are solely responsible for reviewing, testing, supervising, operating, and lawfully using it, and for the consequences of everything it does, from the moment it is in your tenant, whether or not you reviewed it; (b) you, not Inscendo, are the operator of it and the issuer, sender, filer, or maker of every form, document, communication, transaction, or filing it produces, and you produce them under your own licences, registrations, professional standing, and authority; (c) the fact that an Inscendo IQ Expert designed, wrote, configured, or deployed it is not a representation that it is correct, complete, secure, lawful to operate for your purpose, or fit for any purpose, and is not review, approval, certification, or endorsement of your use of it; (d) your indemnity under MSA § 12.2 — including § 12.2(a) and § 12.2(k) — reaches it in full, and you shall not assert, as a defence to that indemnity or as the basis of any claim, contribution, or apportionment against Inscendo, that Inscendo personnel built it; and (e) you shall not represent to any third party that it is an Inscendo product or that Inscendo stands behind what it produces. This § 10.4 does not limit Inscendo's obligations for the Service itself under the MSA, and § 9 continues to cap Inscendo's liability for the Expert Services themselves.

11. Changes to This Agreement

11.1 We may update this Expert Agreement. The version in effect when you request a consultation governs that consultation. The version in effect when your account accepts a Quote or Change Quote, gives a card authorization, or buys or accepts an Onboarding Package governs that Quote, authorization, or package, and every hour worked and charge made under it. Paid work authorized under an earlier version, and every hour already worked under it, remains governed by that earlier version; if you later accept a Quote under a newer version for the same engagement, the newer version governs the hours worked under that Quote.

11.2 Material changes take effect upon posting at /legal/expert-services, and only for consultations requested and Quotes, card authorizations, and Onboarding Packages accepted after posting. A change to the hourly rate, to § 3A, or to § 3B never applies to a Quote or card authorization your account has already accepted.

Schedule A — Onboarding Packages

A.1 The packages. An Onboarding Package is a one-time purchase of Expert Services time, at a fixed price, used to set up and train your team on your account:

A package is not a subscription. It is charged once and never renews. The price, hours, trainings, and Access Window you buy are fixed at purchase; a later change to the table above does not change a package you already hold.

A.2 What the terms mean.

(a) Build Hours are Expert time spent on your account: build-out, configuration, data migration, and working sessions with your team. They are recorded under § 3.2 in fifteen-minute increments on the package total.

(b) A Live Training is a scheduled live session of up to sixty (60) minutes in which an Expert trains your team. It does not draw on Build Hours. Time in a session beyond sixty minutes is drawn from any Build Hours remaining, and only with your agreement at the time.

(c) The Access Window is the period during which your team may bring questions about your build-out to our engineering team through the Support page and by email, in addition to scheduled sessions. Its length is stated in the table in A.1.

(d) Priority Access (Command) means that, during the Access Window, your requests are placed ahead of requests from accounts without Priority Access in our scheduling queue.

(e) The kickoff is the first scheduled meeting held under the package.

(f) CRM and Phone Completion (Growth and Command). If your CRM and your phone system are not yet connected when a Growth or Command package's Build Hours have been used, we keep working on connecting them, at no extra charge and without drawing on any other hours, until they are connected. Your CRM is connected when your customer records have been migrated into the Service under A.8; your phone system is connected when it is linked to the Service through an integration the Service supports and places and logs calls through it. This commitment: (i) covers only those two connections, and not any other build-out, customization, workflow, report, or training, which after the Build Hours are Quoted Work under A.5; (ii) continues past the use-by date in A.4 while the work is outstanding; (iii) depends on your team providing the access, credentials, source data, decisions, and timely responses the work needs, and on third parties, including your phone carrier, your CRM's vendor, and any registration or approval they require, and we are not responsible for delay any of them causes; and (iv) ends when both are connected, when your team has not responded to us for thirty (30) days, when we tell you that a connection depends on something the Service or the third party does not support, or when your subscription ends. It has no cash value and does not change the refund calculation in A.6(c).

None of the Access Window, Priority Access, CRM and Phone Completion, or any scheduling under a package is a response-time commitment, service level, or guarantee of availability.

A.3 A package buys time, not features. Every account on a given plan gets the same platform. A package does not include, unlock, or change any plan, feature, allowance, limit, or price, and it does not include a subscription. Usage consumed in your tenant while Experts work there — including Inscendo IQ's reasoning and automation runs — is metered and charged to your Wallet like any other usage in your tenant (MSA § 6.7).

A.4 Start, use-by date, and expiry. (a) A package is purchased on the date it is paid for, or, for a granted package (A.7(c)), the date it is granted. (b) The Access Window starts on the date of the kickoff. If no kickoff is scheduled, it starts thirty (30) days after purchase. (c) A package's use-by date is the later of ninety (90) days after purchase and the last day of its Access Window. (d) Build Hours, Live Trainings, and Access that are unused by the use-by date expire, without refund, credit, or cash value, except as A.6(c) provides; CRM and Phone Completion continues as A.2(f) provides. A package cannot be transferred to another account, exchanged for another package, or converted into Wallet Funds. (e) The kickoff date. When you accept an offer under A.7(b), the kickoff is scheduled for the date stated in the offer, which takes account of the start date you preferred and is no more than thirty (30) days after you accept. If either party moves it under § 4.3, the new date replaces it. A meeting your team does not attend is not the kickoff (A.2(e)): it is handled as § 4.2 and § 4.3 provide, and it never starts the Access Window earlier than (b) would.

A.5 More hours. If you need more Expert time than a package includes, additional hours are Quoted Work under § 3A, at the rate in § 3.1, scheduled as our availability permits.

A.6 Refunds. (a) Before kickoff. If you ask for a refund before the kickoff and before any Build Hour has been used, we refund the package in full. (b) Sign-up that does not complete. If a package is charged with a sign-up payment and the account is never created, the package is refunded in full automatically. (c) If we cannot deliver. If, for reasons within our control, we cannot deliver the Build Hours or Live Trainings a package includes before its use-by date, you may choose either (i) an extension of the use-by date long enough to deliver them, or (ii) a refund of the undelivered part, calculated by dividing the price by the package's total number of Build Hours plus Live Trainings, and multiplying by the number of Build Hours and Live Trainings not delivered. Time that goes undelivered because your team did not schedule, attend, or respond is not within our control. (d) Otherwise, a package is non-refundable once the kickoff has been held or any Build Hour has been used. Refunds are made to the original payment method. Nothing in this A.6 limits any right you have under applicable law.

A.7 How a package is bought. (a) Requested at sign-up or through Inscendo IQ. Choosing a package when an account signs up for Premium, including through a partner's link, by an optional choice that is never pre-selected, or asking Inscendo IQ for one, is a request, not a purchase. A request names the package and the start date you would prefer. It charges nothing, at sign-up or afterwards, and it does not by itself commit you or us to the package or to that date. We may then offer the package to you under (b), and it is bought only if you accept that offer. (b) Offered after sign-up. We may offer a package to an existing account in the product. An offer stays open for thirty (30) days. It is bought only when an owner or account administrator accepts it in the product and chooses the saved card to be charged; that card is charged once, for that package only. We never charge a package on our own initiative, and a card authorization under § 3B never covers one. (c) Granted packages. We may grant a package at no charge, or record one as paid outside the Service. A granted package has no cash value and is not refundable, and A.4 applies to it from the date it is granted.

A.8 Data migration. Where Build Hours are used to move records into the Service from another system, we reconcile the number of records migrated against the record counts in the source data you provide, and report the result to you. You are responsible for reviewing the migrated data before relying on it or retiring the source system, and for keeping your own copy of the source data until you have done so. We do not warrant the accuracy or completeness of source data, and § 7.2 and § 8.2 apply to migration work as to all Expert Services.

A.9 What we build under a package. Everything an Expert builds or changes in your tenant under a package is governed by § 10 and MSA § 4.2A: it is yours to use, change, and export, forever, including after you leave, licensed to you as Platform Code on those ownership-equivalent terms rather than transferred, AS-IS, and operated by you under § 10.4.
