Inscendo IQ Expert Services Agreement
Terms for paid Inscendo IQ Expert consultations: the $250/hour rate billed in one-hour increments, the 30-minute free consultation and its limits, how hour estimates work, and the separate consents for support email, calls and texts, and marketing.
Inscendo IQ Expert Services Agreement

This Inscendo IQ Expert Services Agreement ("Expert Agreement") governs consultations, training, remediation, and build-out work performed by Inscendo personnel ("Inscendo IQ Experts") for a Subscriber ("you"). It supplements and is incorporated into the Inscendo Master Subscription Agreement ("MSA"). In the event of conflict between this Expert Agreement and the MSA, this Expert Agreement controls with respect to Expert Services.
By requesting a consultation through the Support page, you accept this Expert Agreement. Capitalized terms not defined here have the meanings given in the MSA, the Acceptable Use Policy ("AUP"), and the AI Code of Conduct.
1. What Expert Services Are
1.1 Expert Services means human consultation, training, architectural review, remediation, and build-out work performed by an Inscendo IQ Expert on or in connection with your tenant, its capsules, automations, widgets, and related configuration.
1.2 Expert Services are optional and supplemental. Nothing in the Service requires you to purchase them, and your subscription, allowances, and platform features are unaffected by whether you do.
1.3 Expert Services are delivered remotely by virtual meeting, and by work performed in your tenant between meetings where you have engaged us to do so.
2. The Free Consultation
2.1 Your first meeting is a free consultation of thirty (30) minutes, offered so we can attempt to quickly resolve your issue or educate you on the platform.
2.2 The free consultation is hard-limited to thirty (30) minutes. We may end the meeting at that limit.
2.3 The free consultation is intended for small, discrete issues. It is not a substitute for ongoing engineering, project work, or recurring advisory support.
2.4 Sole discretion. Whether a request is a larger request, or constitutes abuse of the free consultation, is determined by Inscendo in its sole discretion. Seeking ongoing direction on the same or related issues across multiple free consultations is an example of abuse. Where we make that determination, further work proceeds only as paid Expert Services under § 3, and we may decline to schedule additional free consultations.
2.5 We may decline, reschedule, or end any consultation, and we may limit the number of free consultations available to a tenant or to a group of affiliated tenants.
3. Paid Expert Services
3.1 Rate. Paid Expert Services are billed at two hundred fifty U.S. dollars (US $250.00) per hour.
3.2 Increments. Time is billed in one (1) hour increments. Any partial hour is billed as a full hour.
3.3 Conversion from a free consultation. Where a request exceeds the scope of the free consultation, it converts to paid Expert Services as our availability permits. We do not guarantee availability, a start date, or a completion date.
3.4 Estimates are estimates. During a consultation we may estimate the number of hours we expect a piece of work to require. Any such figure is an estimate only. It is not a quote, a fixed fee, a cap, or a commitment. All Expert Services performed after the free consultation are billed at actual hours spent, at the rate in § 3.1, whether or not actual hours exceed any estimate given.
3.5 Authorization. We will not begin paid Expert Services without your authorization. Your authorization to proceed is your agreement to be billed for actual hours at the rate in § 3.1.
3.6 Invoicing and payment. Paid Expert Services are invoiced separately from subscription and usage charges and are due on the terms stated on the invoice. Expert Services are not drawn from your wallet balance, your monthly usage allowance, or any platform credit, and no platform allowance offsets them.
3.7 Taxes. Amounts are exclusive of taxes, which are your responsibility except for taxes on our net income.
3.8 No refunds for time performed. Hours actually worked are payable. Cancellation before work begins incurs no charge.
4. Scheduling, Rescheduling, and No-Shows
4.1 Meetings are scheduled through the Support page. We will send you a confirmation, one or more reminders before the meeting, and the meeting invitation shortly before the scheduled start time.
4.2 If you do not attend within ten (10) minutes of the scheduled start, we may treat the meeting as a no-show and release the time. A no-show consumes your free consultation.
4.3 Either party may reschedule with reasonable notice.
5. Communications Consent
5.1 Support email. By requesting a consultation you consent to receive email from us relating to your request, your scheduled meetings, and the support matter you raised. This is transactional communication necessary to deliver the service you requested.
5.2 Calls and text messages (express written consent). Where you separately and affirmatively check the corresponding box in the request form, you provide express written consent for Inscendo Automation Inc. and its agents to contact you at the telephone number you provide by automated telephone dialing system, prerecorded or artificial voice message, and SMS or MMS text message, for purposes relating to scheduling, delivering, and following up on Expert Services and platform support.
(a) This consent is not a condition of purchase of any goods or services, and is not required to receive Expert Services. You may request a consultation, attend meetings, and purchase paid Expert Services without giving it.
(b) Message and data rates may apply. Message frequency varies.
(c) You may revoke this consent at any time by replying STOP to any text message, by telling us during a call, or by emailing support@inscendoiq.com. Reply HELP to any text message for assistance. Revocation takes effect promptly and does not affect the lawfulness of communications sent before revocation.
(d) We record the date and time of your consent, the telephone number given, and the exact version of the consent language displayed to you at the moment you consented.
5.3 Marketing (optional). Marketing communications are optional, are requested by a separate checkbox, and are never bundled with § 5.1 or § 5.2. Declining marketing has no effect on Expert Services. You may withdraw marketing consent at any time using the unsubscribe link in any marketing message or by emailing support@inscendoiq.com.
5.4 No pre-checked boxes. No consent under this § 5 is obtained by a pre-checked box, by silence, or by bundling with any other agreement.
6. Information You Provide
6.1 The request form asks you to describe the issue you are having, what you are trying to build, what you are blocked on, or what you need help with. You provide this so we can investigate in advance and be prepared for the meeting.
6.2 Do not include payment card numbers, government identification numbers, protected health information, or credentials in the request form. Use the in-product credential facilities for secrets.
6.3 Information you provide is handled under the Privacy Policy and, where applicable, the Data Processing Addendum.
7. Access to Your Tenant
7.1 Expert Services may require an Expert to access your tenant. Such access is performed under your existing MSA and DPA and is limited to what is reasonably necessary to perform the work you authorized.
7.2 You remain responsible for your data, your backups, and for reviewing changes made to your tenant. Where an Expert changes your configuration, capsules, or automations at your direction, those changes are yours.
8. No Professional Advice; No Guarantee of Outcome
8.1 Expert Services are technical services relating to the Service. They are not legal, tax, accounting, medical, or other regulated professional advice.
8.2 We do not warrant that Expert Services will resolve any particular issue, achieve any particular result, reduce any particular volume of errors, or bring any workload within any particular platform capability. Estimates, opinions, and recommendations are provided without warranty.
8.3 EXPERT SERVICES ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSCENDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO EXPERT SERVICES.
9. Limitation of Liability
9.1 The limitations and exclusions of liability in the MSA apply to Expert Services.
9.2 Without limiting the MSA, Inscendo's aggregate liability arising out of or relating to Expert Services will not exceed the amounts actually paid by you for the Expert Services giving rise to the claim in the three (3) months preceding the event.
9.3 Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to Expert Services.
10. Intellectual Property
10.1 Configuration, capsules, automations, and code created for you in your tenant during Expert Services are yours, on the same terms as any other Customer Content under the MSA.
10.2 Inscendo retains all rights in the Service, in its methods, know-how, tooling, and templates, and in any general skills, techniques, and improvements derived from performing Expert Services. Nothing here transfers ownership of the Service or of anything used to deliver it.
11. Changes to This Agreement
11.1 We may update this Expert Agreement. The version in effect when you request a consultation governs that engagement and any paid work converted from it.
11.2 Material changes take effect for new requests upon posting at /legal/expert-services.
