Inscendo — Marketplace Installer Terms

Effective Date: October 7, 2026 for Installers already bound to an earlier version — thirty (30) days' notice under MSA § 15.1. For an Installer accepting these Installer Terms for the first time, this Version 1.4 is effective on acceptance, and is the version that Installer is bound by. Until October 7, 2026, an Installer already bound remains on the version it accepted: Version 1.3 takes effect for those Installers on September 24, 2026 and Version 1.2 on September 15, 2026; the dates earlier versions took effect are recorded in the Version note below. Version: 1.4 (September 7, 2026 — § 5.3 and § 5.3A(b) amended to state the one case in which a Capsule payment is refunded by Inscendo. A referral signup now collects every payment before a workspace is created; if that registration expires before every payment is collected, no workspace or Capsule installation is ever created, and the Capsule payment is cancelled and refunded on the Publisher's account on the Publisher's behalf. A disclosure in the Installer's favour; no Installer obligation is enlarged. Version 1.3 (August 25, 2026 — new § 5.3A, and § 5.4 restated. The Installer Terms described a paid Capsule and named the Publisher as merchant of record, but never said that a monthly Capsule renews automatically until cancelled, never said how to cancel it, and left the cancellation mechanism as "uninstalling ... may cancel the associated subscription" — which is the one sentence an installer needs to be able to rely on. § 5.3A states the recurring charge and that it continues until stopped, that uninstalling in the Service is the cancellation and needs no contact with anyone, that cancellation takes effect immediately and forfeits the remainder of the paid month subject to the Publisher's refund policy, that the price cannot rise while installed (Publisher Agreement § 6.1A), that receipts come from the Publisher as merchant of record (Publisher Agreement § 6.7), and what Inscendo does and does not do in the transaction. § 5.4 now states the cancellation as a fact rather than a possibility. Adds disclosure and an Inscendo-side commitment; no Installer obligation is enlarged. Version 1.2 (August 14, 2026 — § 2.3(a) now states that an installed free Capsule License also survives termination of the Publisher Agreement, matching Publisher Agreement § 5.2, which is named as the controlling statement; Inscendo's deactivation power is referenced rather than left implicit. § 5.2 feedback license split into Feedback, identified customization signals, and aggregated learning, mirroring Publisher Agreement § 5.6 — unrestricted cross-product use now reaches only the aggregated, de-identified form governed by MSA § 4.5.) These Marketplace Installer Terms ("Installer Terms") govern the installation and use of capsules, widgets, automations, skills, knowledge documents, and similar artifacts published by other Subscribers (collectively, "Capsules") through the Inscendo marketplace (the "Marketplace"). They are incorporated into the Inscendo Master Subscription Agreement ("MSA") and apply to you ("Installer") whenever you install or use a Marketplace Capsule. Capitalized terms not defined here have the meanings given in the MSA and the Marketplace Publisher Agreement ("Publisher Agreement").

Acceptance. Before your first Marketplace installation, you are shown these Installer Terms and must affirmatively accept the version then in force; that acceptance is recorded with its version, timestamp, and the accepting user. If these Installer Terms are revised, you may be asked to accept the revised version before installing again. Installing or continuing to use a Capsule also constitutes acceptance of the version then in force.

1. What installing a Capsule does

1.1 Source lands in your tenant. When you install a Capsule, its complete source — code, configuration, prompts, SQL, documentation, and the full text of any bundled skills and background agents — is copied into your own tenant, where you and your AI agent can read it and, after you unlock the Capsule, modify and customize it. This is a core feature of the Service.

1.2 Transparency before install. Before installing, you can review the Capsule's listing, documentation, install instructions, and the full text of bundled skills and background agents. Bundled background agents always install disabled until you review and enable them.

1.3 Installed code acts on your authority. Once installed, a Capsule runs inside your tenant, and its actions are your actions under MSA § 1.3. Review what a Capsule does — including what data it processes and what third-party services it calls — before installing it, and supervise it afterward.

1.4 Installation is AI work, not a packaged installer. Capsules are designed to be integrated into your tenant's existing environment. There is no scripted, hardcoded install process: Inscendo IQ performs installation, integration, upgrade, repair, and uninstallation dynamically — planning, adapting, migrating, and wiring the Capsule into what already exists in your tenant. These operations are not warranted to succeed (MSA § 11.3A), may require multiple attempts, may leave work partially applied, and can introduce defects that require further AI work to repair. Uninstalling and later re-installing a Capsule is likewise AI-performed and is not guaranteed to work out of the box or to restore a prior state.

1.5 You bear the usage cost of install and related work. All Inscendo IQ usage consumed installing, integrating, customizing, upgrading, repairing, or uninstalling a Capsule — including unsuccessful or repeated attempts — is metered to your wallet under MSA § 6 (see § 6.7: fees accrue regardless of outcome, and the agent works autonomously with broad permission to plan, retry, and self-correct). Cost-mitigation controls (step limits, run caps, alerts) are provided on a best-effort basis and are not spending guarantees. You may stop an in-progress operation; usage already consumed remains payable.

2. The Capsule License

2.1 A direct license, joined by Inscendo. Each Capsule is licensed, not sold, to you. Upon installation, a license is formed directly between you and the Capsule's publisher (the "Publisher") — joined by Inscendo as the owner of Platform Code (MSA § 4.2) — on the standardized terms of this § 2 and Publisher Agreement § 5.2 (the "Capsule License"). Inscendo is not a party to the commercial relationship between you and the Publisher, but Inscendo may enforce the Capsule License.

2.2 What you may do. Under the Capsule License you may, solely within your own tenant and solely for your internal business purposes:

(a) install, run, and use the Capsule;

(b) view its source; and

(c) modify it and create derivative works of it — including through your AI agent and the Service's customization and upgrade-merge features.

2.3 Duration. For each Capsule version actually installed in your tenant:

(a) for free Capsules, the Capsule License continues for as long as you remain a Subscriber, and survives withdrawal, delisting, or removal of the listing and termination of the Publisher Agreement between the Publisher and Inscendo — whether that termination is by the Publisher, by Inscendo, or by expiry. Publisher Agreement § 5.2 is the controlling statement of Capsule License survival, and your rights under this § 2.3(a) match it. Inscendo may still suspend or deactivate an installed Capsule on the grounds enumerated in Publisher Agreement § 5.2 ("Inscendo's deactivation power") and in § 6.3 below;

(b) for paid Capsules, the Capsule License is additionally conditioned on your payment of the applicable fees, and is suspended or terminates upon a refund, chargeback, or lapse of the associated subscription (§ 5.4). Retaining or using a paid Capsule after the associated subscription has ended, without the Publisher's consent, is outside the Capsule License; and

(c) the Capsule License terminates upon your material breach of it.

3. Restrictions

You shall not, and shall not permit anyone else to:

(a) redistribute, republish, sell, resell, sublicense, or otherwise make a Capsule, or any substantial portion of its source, available outside your own tenant — whether on or off the Service, and whether or not modified;

(b) publish to the Marketplace a Capsule that is a copy of, or substantially derived from, another publisher's Capsule, without that publisher's authorization (the Capsule License does not grant that authorization);

(c) use a Capsule's source to create a competing Marketplace listing, or extract it for use in a product or service outside your tenant;

(d) remove or alter the Capsule's attribution, listing identity, or proprietary notices; or

(e) circumvent a paid Capsule's billing, entitlement suspension, or subscription mechanics.

Nothing in these Installer Terms restricts your use of your own modifications (§ 4) separated from the Publisher's underlying Capsule, or of components governed by an open-source license, which controls for those components.

4. Your modifications

Your modifications and additions to an installed Capsule are Platform Code created in your tenant: you hold the ownership-equivalent Platform Code License in them (MSA § 4.2A), and the underlying Capsule remains subject to the Publisher's rights (Publisher Agreement § 5.3). A modified installed Capsule may be used only under, and for the duration of, the Capsule License. Publisher updates are delivered as merges that preserve your modifications where feasible; conflicts are surfaced for your review.

5. Feedback, field signals, and paid Capsules

5.1 Tribal Knowledge. The Service reports issues, install friction, feature requests, and structured summaries or deltas of your customizations of an installed Capsule back to its Publisher, in pseudonymous, structured form. Your business data does not ride along, but the content of reports you write and the shape of your customizations do. Do not put personal, sensitive, or confidential information in feedback text.

5.2 Feedback license. Subject to MSA § 4.4 (no use for foundation-model training), which controls over these Installer Terms notwithstanding § 8, you grant the Publisher and Inscendo a perpetual, irrevocable, worldwide, royalty-free license, without attribution or compensation, to use, reproduce, modify, and incorporate:

(a) Feedback — ideas, suggestions, bug reports, requested improvements, and other commentary you author — for any lawful purpose, including in the Capsule, in the Service, and in other products;

(b) Customization signals — the structured summaries and deltas of your customizations described in § 5.1 — in identified or otherwise non-aggregated form, solely to build, maintain, support, secure, and improve that Capsule and to operate, secure, and improve the Service; and

(c) Aggregated learning — those same customization signals in aggregated, anonymized, or de-identified form, which is governed by MSA § 4.5 and may be used for any lawful purpose, including analytics, research, benchmarking, and the development of other Inscendo products and services.

This mirrors Publisher Agreement § 5.6. Nothing in this § 5.2 authorizes Inscendo to use customization signals to intentionally reconstruct or reproduce a Publisher's Uploaded Materials, or to clone a Publisher Capsule (Publisher Agreement § 5.11).

5.3 Paid Capsules — the Publisher is the merchant of record. Payment for a paid Capsule is charged directly to your payment method by the Publisher through the Publisher's own Stripe account. The sale is solely between you and the Publisher. Inscendo is not the merchant of record, is not a party to the sale, never holds the funds, and does not issue, fund, mediate, or adjudicate refunds, chargebacks, or disputes — those are handled with the Publisher under the Publisher's refund policy. One exception: if you register through a referral link and your registration expires before every payment in the signup sequence is collected, no workspace or Capsule installation is created and the Capsule payment you made is cancelled and refunded on the Publisher's account on the Publisher's behalf (Publisher Agreement § 6.7(d)).

5.3A A monthly Capsule renews automatically until you cancel it. Where a Capsule carries a recurring (monthly) fee:

(a) It repeats until stopped. Your payment method is charged the monthly amount shown on the Capsule's listing, once per month, automatically and without asking you again, for as long as the Capsule stays installed — there is no fixed number of payments and no end date. A one-off install fee, where the listing also carries one, is charged once on the first payment.

(b) How to stop it. Uninstall the Capsule from your installations in the Service. You can do that at any time, yourself, without contacting Inscendo or the Publisher and without being routed through a retention offer. Uninstalling cancels the associated subscription on the Publisher's payment account, and no further monthly charge is made. (The only case in which Inscendo itself refunds a Capsule payment is the expired signup registration described in § 5.3.)

(c) Cancelling takes effect immediately, not at the end of the month. Unlike a subscription that runs to the end of a period you have paid for, uninstalling ends the subscription at once: the Capsule is deactivated and you lose access to it straight away, including for any part of the month already paid for. Whether you are refunded for the unused part of that month is governed by the Publisher's refund policy, not by Inscendo — Inscendo does not issue or fund refunds (§ 5.3). If you want the rest of the month you have paid for, uninstall at the end of it rather than the middle.

(d) Your price does not go up while you stay installed. Publisher Agreement § 6.1A prohibits a Publisher from raising the fees of a listing that has active installations. A Publisher who wants a higher price must list separately; you continue at the price you agreed to, for as long as you remain installed and subscribed. So you will not receive a price-increase notice for a Capsule you have already installed, because there will not be a price increase to give notice of.

(e) Your receipts come from the Publisher. The Publisher is the merchant of record (§ 5.3), so the Publisher — not Inscendo — issues the receipt for each charge, including each monthly renewal, and Publisher Agreement § 6.7 requires the Publisher to send one for every charge with instructions for cancelling. Inscendo does not see, hold, or issue those receipts. If a Publisher does not send them, raise it with the Publisher; you may also report it to Inscendo at support@inscendoiq.com, and Inscendo may act on it under § 3.2 of the Publisher Agreement, but Inscendo cannot issue the receipt in the Publisher's place.

(f) What Inscendo does and does not do here. Inscendo shows you the recurring terms before you buy, gives you the control that cancels the subscription, and requires Publishers to meet the obligations in Publisher Agreement § 6.7. Inscendo is not the seller, is not the merchant of record, does not set the price, does not take a share of it, and does not hold the money (§ 5.3; Publisher Agreement § 6.3).

5.4 Entitlement suspension. If a paid Capsule's payment fails, is refunded, or is disputed, or the associated subscription lapses, the Service may suspend or deactivate the Capsule in your tenant, and the Capsule License for it is suspended or terminated per § 2.3(b). Uninstalling a paid Capsule cancels the associated subscription and stops all further charges for it (§ 5.3A(b)).

6. Third-party Capsules are provided by their Publishers

6.1 AS-IS from Inscendo; the Publisher is responsible for its Capsule. Each Marketplace Capsule is developed, supplied, and published by its Publisher, who is solely responsible for it. Inscendo does not curate, endorse, or warrant any third-party Capsule, and provides the Marketplace and all third-party Capsules AS-IS to the maximum extent permitted by law. Your remedies for a defective, misrepresented, insecure, or harmful Capsule lie against its Publisher. Inscendo likewise does not warrant that Inscendo IQ will successfully install, integrate, upgrade, uninstall, or re-install any Capsule (§ 1.4; MSA § 11.3A).

6.1A A Capsule built with Inscendo IQ is still its Publisher's. Capsules are typically built using Inscendo IQ, at the Publisher's direction and on the Publisher's instructions, and the Publisher decides what the Capsule does, reviews it, and elects to publish it. That does not make Inscendo the author, developer, designer, maker, supplier, distributor, or seller of the Capsule, does not make the Capsule an Inscendo product, offering, service, or recommendation, and is not review, testing, quality assurance, security assessment, approval, certification, or endorsement of it by Inscendo. The same is true of Inscendo's ownership of Platform Code under MSA § 4.2, and of any license Inscendo holds in a Capsule: those allocate rights, and are not an assumption of responsibility for the Capsule or a duty of care to you with respect to it. Publisher Agreement § 1.5 states this allocation as against the Publisher, and the Publisher agrees to it.

6.2 Publisher obligations run to you. You are an intended third-party beneficiary of the Publisher's representations and warranties in Publisher Agreement § 4 and its obligations in Publisher Agreement § 7, and the Publisher indemnifies you per Publisher Agreement § 9.

6.3 Removal. Inscendo may remove a listing, or deactivate installed copies of a Capsule, at any time — including for security issues, policy violations, or infringement complaints under the Copyright & DMCA Policy — without liability to you. To the maximum extent permitted by applicable law, Inscendo has no liability for any loss or damage arising from such a removal or deactivation, including loss of data or of work built on the Capsule.

6.4 Screening is best-effort, and is not a guarantee. Review a Capsule before you install it. Inscendo may apply automated and manual measures to the Marketplace — including security, dependency, and policy checks on submissions, and provenance, commit-history, and similarity analysis to detect copied or derived listings. These measures are best-effort. Inscendo does not warrant, represent, or guarantee that they will detect or prevent any malware, vulnerability, security defect, data-handling practice, inaccurate or misleading listing, infringement, clone, or violation of law or policy; Inscendo assumes no obligation to police, screen, monitor, investigate, or enforce; and Inscendo has no liability to you for anything it does not detect or does not act on. The presence of a Capsule in the Marketplace is not a representation that it has been vetted, is safe, or is fit for your purpose. You are responsible for reviewing what a Capsule does — including its source, the data it processes, and the third-party services it calls — before installing it, and for supervising it afterward (§ 1.2, § 1.3).

6.5 No liability for Capsules. Without limiting § 6.1, § 6.1A, or MSA § 13, and to the maximum extent permitted by applicable law, Inscendo has no liability to you or to your end users for any Capsule — including for its code, content, prompts, configuration, or metadata; for what it does or fails to do; for any defect, error, malfunction, incompatibility, vulnerability, or security incident in or arising from it; for any loss, corruption, or disclosure of data caused by it; for any third-party service it calls or any charge or usage it incurs; or for any injury, loss, or damage it causes to you or to anyone else. This is so whether or not the Capsule's source was generated by Inscendo IQ, whether or not Inscendo owns that source as Platform Code, and whether or not the Capsule passed any check described in § 6.4. This § 6.5 does not limit Inscendo's own obligations to you for the Service itself under the MSA.

7. Enforcement

The Publisher of a Capsule you install is an intended third-party beneficiary of your obligations under these Installer Terms with respect to that Capsule, and may enforce the Capsule License directly against you. Inscendo may also suspend or terminate Marketplace access, or your account per MSA § 14.4, for violations of these Installer Terms.

8. General

These Installer Terms are part of the MSA and are governed by MSA § 16 (Texas law; arbitration). Inscendo may update these Installer Terms per MSA § 15. If these Installer Terms conflict with the MSA, these Installer Terms control with respect to Marketplace Capsules — except that MSA § 4.4 (no use for foundation-model training) controls in all cases.
